These Terms and Conditions (“Terms”) govern your access to and use of the public-facing website, webpages, content, and related online services operated by UEP, Inc. (“UEP,” “we,” “us,” or “our”) (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Purpose of the Site
The Site is provided for general informational, corporate, recruiting, marketing, and business-development purposes. Content on the Site is not intended to constitute engineering instructions, technical advice, legal advice, procurement advice, an offer to sell, a solicitation to buy, or a binding commitment by UEP.
Descriptions of UEP’s capabilities, products, facilities, programs, technologies, or plans may be illustrative, may be subject to change, and may not reflect the specifications, availability, certification status, performance, configuration, or terms applicable to any particular transaction.
No statement on the Site creates a contractual obligation unless it is expressly incorporated into a separate written agreement executed by an authorized representative of UEP.
2. Eligibility and Lawful Use
You may use the Site only for lawful purposes and in accordance with these Terms.
You agree not to:
- use the Site in violation of any applicable law, regulation, sanction, export-control restriction, or governmental order;
- attempt to gain unauthorized access to the Site, its infrastructure, accounts, systems, or networks;
- interfere with, disrupt, damage, disable, overburden, or impair the Site;
- probe, scan, or test the vulnerability of the Site or any related system without UEP’s prior written authorization;
- introduce malware, malicious code, automated attacks, or other harmful material;
- scrape, crawl, harvest, or collect information from the Site through automated means in a manner that materially burdens the Site, circumvents technical controls, or violates applicable law;
- impersonate UEP, its personnel, or another person or entity;
- use Site content in a misleading manner or falsely imply endorsement, sponsorship, affiliation, certification, or approval by UEP;
- submit information that you do not have the lawful right to provide; or
- transmit export-controlled technical data, classified information, controlled unclassified information (“CUI”), proprietary third-party information, or other restricted information through public Site forms or other unapproved channels.
UEP may restrict or block access to the Site when reasonably necessary to protect UEP, its systems, other users, or third parties, or to comply with law.
3. Intellectual Property
The Site and its contents, including text, graphics, logos, trademarks, service marks, trade dress, photographs, videos, illustrations, software, code, designs, layouts, and other materials, are owned by or licensed to UEP and are protected by United States and international intellectual-property laws.
Except as expressly permitted by these Terms, no Site content may be copied, reproduced, modified, distributed, republished, displayed, performed, transmitted, reverse engineered, or used to create derivative works without UEP’s prior written permission or the permission of the applicable rights holder.
Subject to these Terms, UEP grants you a limited, revocable, non-exclusive, non-transferable license to access and view the public portions of the Site for your personal or internal business informational purposes.
Nothing on the Site grants, by implication, estoppel, or otherwise, any license or right under any patent, trademark, copyright, trade secret, technical data right, or other proprietary right of UEP or any third party.
4. Trademarks
UEP’s names, logos, product names, slogans, and other source identifiers may be trademarks or service marks of UEP. Third-party names and marks appearing on the Site remain the property of their respective owners.
You may not use UEP marks in a manner that is likely to cause confusion, imply endorsement, or otherwise violate applicable trademark law.
5. Information You Submit
If you contact UEP through the Site, you are responsible for the information you submit.
Do not submit:
- classified information;
- CUI unless UEP has expressly authorized a compliant method for transmitting it;
- information or technical data controlled under the International Traffic in Arms Regulations (“ITAR”), Export Administration Regulations (“EAR”), or other export-control laws unless UEP has expressly authorized an appropriate method and the transmission is lawful;
- trade secrets or confidential information belonging to another person or organization without authorization;
- sensitive personal information that is not reasonably necessary for your inquiry; or
- malicious, unlawful, infringing, defamatory, or fraudulent content.
Unless UEP expressly agrees otherwise in writing, submitting information through a public Site form does not create a confidential, fiduciary, employment, agency, partnership, or other special relationship.
You grant UEP a non-exclusive right to use information you voluntarily submit as reasonably necessary to evaluate and respond to your inquiry, operate the Site, protect UEP’s legal rights, comply with law, and conduct legitimate business activities, subject to our Privacy Policy and applicable law.
6. Employment and Recruiting Information
Job postings and recruiting materials on the Site are informational and may be modified, suspended, or withdrawn at any time. A posting does not constitute an employment contract or guarantee of employment.
Employment eligibility, export-control requirements, security-clearance requirements, location requirements, and other conditions may apply to particular roles. Any such requirements will be evaluated in accordance with applicable law.
Information provided through a recruiting process may also be subject to additional notices or terms presented at the time of application.
7. Export Controls, Sanctions, and ITAR
UEP operates in an industry in which United States export-control and sanctions laws may apply.
Your access to public Site content does not constitute authorization to export, reexport, transfer, release, disclose, or otherwise provide any defense article, technical data, defense service, controlled technology, software, or other restricted item or information.
You are responsible for complying with applicable export-control, sanctions, and trade laws, including, as applicable:
- the Arms Export Control Act;
- the International Traffic in Arms Regulations, 22 C.F.R. Parts 120-130;
- the Export Administration Regulations, 15 C.F.R. Parts 730-774; and
- sanctions programs administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control.

8. Third-Party Websites and Services
The Site may contain links to third-party websites, platforms, social networks, recruiting systems, maps, embedded media, or other services.
UEP does not control and is not responsible for third-party services, their availability, security, content, terms, or privacy practices. Links are provided for convenience and do not necessarily imply endorsement.
Your use of third-party services is governed by the terms and policies of those third parties.
9. Accuracy and Availability
UEP seeks to provide useful and accurate information, but the Site may contain errors, omissions, outdated information, or incomplete descriptions.
UEP may change, remove, suspend, or discontinue any part of the Site at any time without notice. UEP does not guarantee that the Site will always be available, uninterrupted, secure, or error-free.
10. No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
UEP DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UEP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UEP’S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not apply to liability that cannot lawfully be limited or excluded.
12. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless UEP and its affiliates, officers, directors, employees, agents, and contractors from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
- your unlawful or unauthorized use of the Site;
- your material violation of these Terms; or
- information or content you submit in violation of law or third-party rights.
13. Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy.
14. Copyright Complaints
If you believe content on the Site infringes your copyright, you may send a written notice to UEP at the contact address below. Your notice should identify the copyrighted work, the allegedly infringing material, your contact information, and sufficient information for UEP to evaluate the claim.
Nothing in this section limits any rights or procedures available under applicable copyright law.
15. Changes to These Terms
UEP may update these Terms from time to time. When we do, we will update the “Last Updated” date above.
Changes become effective when posted unless a later effective date is stated. Your continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
16. Governing Law
These Terms and any dispute arising from or relating to the Site are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any action that is not subject to another binding dispute-resolution agreement between you and UEP must be brought in a state or federal court having jurisdiction over UEP’s principal place of business, and you consent to the personal jurisdiction of those courts, except where applicable law provides otherwise.
17. Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
18. Waiver
UEP’s failure to enforce a provision of these Terms is not a waiver of that provision or any other right.
19. Entire Agreement
These Terms, together with the Privacy Policy, ITAR and Export Control Notice, and any other legal notice expressly incorporated by reference, constitute the agreement between you and UEP regarding use of the public Site, except to the extent a separate written agreement between you and UEP governs a particular matter.
